Due Diligence

Due Diligence is the process of an acquirer investigating information and representations made about the business.  Codiligent believes Due Diligence should be a time of verification of representations already made, not a period of discovery of new, potential deal-killing information.  Appropriate material disclosures should be made by business brokers in the confidential information package and in discussions about the business prior to a Letter of Intent being negotiated.

Codiligent acts as the gatekeeper of the Due Diligence information - making sure that information is provided in a timely manner and presented in a way that minimizes confusion.  If there are multiple people providing Due Diligence information (for example, a CPA, attorney, a VP of operations, and a CFO) then Codiligent manages the collection of, and accountability for, that information.    

A well-managed Due Diligence process by experienced business brokers will inspire confidence in a buyer and will increase the probability of the business sale closing.
